I am qualified in the Cayman Islands and New South Wales (not practicing) with a focus on private investment funds, FinTech and corporate and commercial matters. Prior to joining Travers Thorp Alberga I was a Senior Associate in the investment funds group of a global offshore firm and prior to relocating to the Cayman Islands I was an Associate with Clifford Chance with a focus on mergers and acquisitions, FinTech and investment management. I advise a range of institutional investors in connection with potential investment opportunities and seed capital arrangements and advise private investment funds and their sponsors on the formation, marketing, capital raising, ongoing operation and wind-down of a variety of private investment funds including cryptocurrency funds, cryptocurrency mining funds, hybrid funds, buyout funds, credit and/or debt opportunity funds, fund of funds, venture capital funds, real estate funds, infrastructure funds and hedge funds employing a range of investment strategies. I also work closely with FinTech companies and other blockchain developers and investors to help them navigate the evolving legal risks facing their businesses. Highlights include: INVESTMENT FUNDS • Setting up private equity, hedge and hybrid funds for startup fund managers ($1m to $100m) and established fund managers ($20bn+). • Advising investors and private investment funds and their sponsors on a range of distressed fund scenarios, including suspensions of redemptions, side-pocketing of illiquid investments, fund reorganizations/consolidations and contentions and non-contentious wind-downs. • Advising institutional investors on investments and seed capital arrangements. CORPORATE • Corporate re-structurings • Advising on the structure and implementation of a range of joint venture structures. • Advising on private treaty mergers and acquisitions ranging from $1m to $1.2bn. • The sale and restructure of an investment management business with over $600m in AUM.
